END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("End User" or "you") and the developer of Citizen Calc: Business & GST ("Licensor," "we," "us," or "our").

By downloading, installing, copying, or otherwise using the Citizen Calc: Business & GST mobile application ("Application" or "Licensed Application") from the Apple App Store, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Application.

1. ACKNOWLEDGEMENT

Licensor and the End User acknowledge that this Agreement is concluded between Licensor and the End User only, and not with Apple Inc. ("Apple"). Licensor, and not Apple, is solely responsible for the Licensed Application and the content thereof.

2. SCOPE OF LICENSE

1. Grant of License: Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Licensed Application on any Apple-branded products running iOS/iPadOS that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

2. Family Sharing: This license also permits the Licensed Application to be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing as configured in the Apple App Store.

3. Restrictions: You may not:

- Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Application;

- Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Application;

- Rent, lease, lend, sell, redistribute, or sublicense the Licensed Application;

- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Licensor.

3. MAINTENANCE AND SUPPORT

Licensor is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this Agreement or required under applicable law.

Licensor and the End User acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

4. WARRANTY AND DISCLAIMER

1. "AS IS" Provision: The Licensed Application is provided "AS IS" and "AS AVAILABLE" with all faults and without warranty of any kind.

2. Apple Warranty Disclaimer: In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you (if applicable); and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Licensor's sole responsibility.

5. PRODUCT CLAIMS

Licensor, and not Apple, is responsible for addressing any claims of the End User or any third party relating to the Licensed Application or the End User's possession and/or use of that Licensed Application, including, but not limited to:

- Product liability claims;

- Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and

- Claims arising under consumer protection, privacy, or similar legislation.

6. INTELLECTUAL PROPERTY RIGHTS AND INFRINGEMENT

Licensor and the End User acknowledge that, in the event of any third-party claim that the Licensed Application or the End User's possession and use of that Licensed Application infringes that third party's intellectual property rights, Licensor, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

7. LEGAL COMPLIANCE AND EXPORT CONTROL

You represent and warrant that:

- You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and

- You are not listed on any U.S. Government list of prohibited or restricted parties.

8. THIRD-PARTY BENEFICIARY

Licensor and the End User acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this EULA, and that, upon the End User's acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against the End User as a third-party beneficiary thereof.
